How to register a company in Pakistan?

Before understanding the procedure for company registration in Pakistan, it is important to know the types of companies that can be registered in Pakistan under the Companies Act 2017 to decide with which kind of company you should get your business registered.

The Pakistani Government has simplified the registration process for companies, and they are trying to make this process easier for the people. The registration process is managed by the SECP (Security and Exchange Commission of Pakistan). In addition, the SECP provides e-services and an offline company registration system in Pakistan.

Types of Legal Companies:

In Pakistan and mostly all over the world;

  • Single Member Private Limited Company
  • Private Limited Company
  • Public Limited Company
  • Single Member Company

If only one member forms a private company, it is called a single-member company. You may incorporate a Single Member Private Limited Company under the Companies Act, 2017.

  • Private Limited Company

Any two or more persons legally united may form a Private Limited Company by subscribing their names to the Memorandum of Association and complying with the requirements of the Companies Act, 2017.

  • Public Limited Company

Any three or more persons associated for lawful purpose can form a Public Limited Company by subscribing their names to the Memorandum of Association under the Companies Act, 2017. Public Limited Company has two types, Listed and Unlisted.

There is no official minimum capital requirement for private limited companies in Pakistan.  For this reason, a common practice is to consider PKR 100,000 as of the minimum Capital.

Process of company registration

Approval of Company Name:

To register any company in Pakistan, you need to determine the company’s name and check its availability on the SECP official website. You should refer to section 10 of the companies Act, 2017 by downloading it from the Secp website. A list of prohibited terms is available on the SECP’s website, which you cannot use in a company name. It’s best to look at the List and decide the company or firm name.

After deciding on your company name, check its availability from the Secp website. If available, you can reserve that company name (For sixty days) by creating an online account with SECP and depositing a nominal fee for name reservation.

Some regulations set by SECP for a company name are following:
  • It should not be identical or resemble the name of any existing company or registered LLP.
  • The company name shouldn’t be inappropriate or deceptive.
  • Try not to include any word or words in the company name which are offensive to any section of the people
  • It should not contain any other word that, in the opinion of the registrar, is undesirable.
  • Your company or firm name must not exploit the religious susceptibilities of people.
  • Avoid using any prohibited word under Section 10 of the Act and Regulation 4 of the Companies (Incorporation) Regulations, 2017.
Here are the steps to register with SECP and reserve the company name and incorporation of the company:
  • Go to the SECP website and Log on to the e-services page on the SECP website.
  • You need a valid CNIC if you are a Pakistani National, and you need to have a valid passport if you are a foreigner.
  • You need to select ‘fast track registration services’ (FTRS) for same-day registration.
  • Fill out the online form and submit it by providing your particulars.
  • You will receive security codes via SMS and email that you need to write in the form.
  • Now, fill out the form of company name reservation and click on submit after pin verification.
  • In case of company registration, you will need to fill out the necessary details regarding the company like particulars of directors, CEO, address of the company, nature of business of the company, and attachment of required documents provided in the List below.
  • You can also submit both applications of name reservation and company incorporation at the same time.
  • You will choose a particular Corporate Regional Office (CRO) when submitting the form. It is common practice to select the city where the company’s head office is situated, like Lahore, Islamabad, Karachi, Faisalabad, Gujranwala, etc.

In case of no prohibited word in your company name and attachment of required documents, you will receive an email from the secp regarding confirmation of your name reservation or company incorporation, whatever the case may be.

Documents required for company incorporation:

Here are some documents which you must have in order to register a company in Pakistan.

  • Memorandum of Association and Articles of Association. ( Sample of both are available on the secp website)
  • Copies of CNIC of Directors, CEO, Nominee (for the single-member company) or copy of passport in case of a foreigner.
  • NOC (No Objection Certificate) or letter of intent/ license from concerned authorities if you want to register some specialized business.
  • If a foreign company is to be incorporated, you need to provide more detail such as the List and details of Directors and their nationality, the company profile. You have to give the Company charter’s certified copy. ( Attested copies from Pakistan High Commission of the relevant country)
  • Authorization of Subscribers for filing of documents.
  • Registration/Filing fee.

Certification of Incorporation and Company Seal

After submitting all the documents, the Securities and Exchange Commission of Pakistan (SECP) will evaluate them and check all the documents’ validity. A digital signature or company seal will be issued by the National Institutional Facilitation Center (NIFT). You can acquire it from SECP.

All company directors signature is required to receive the said company seal. You will get a certificate of incorporation from SECP on validation of all your documents provided. The certificate will be issued to you in physical form or electronically. You can start your business by getting the incorporation certification from SECP,

After the registration, shareholders must deposit their subscription money of shares to the company’s bank account.
